Yamaha Completes Acquisition Of Founders Shareholdings

BUENA PARK, CA─As previously announced on June 19, 2008, Yamaha Corporation announced its intention to acquire NEXO SA. The decision to purchase NEXO follows the successful strategic alliance between the two companies which transpired in 2005. Immediately after the decision to purchase NEXO, Yamaha Corporation made an offer to purchase the shares of the two founders who are also the principal shareholders.

Discussions have proceeded as scheduled, and on July 31 (CET), Yamaha completed its first step of the acquisition by purchasing all of the shares of the two founders. Yamaha is scheduled to launch a tender offer for the remaining shares of NEXO on the open market in September, with the objective of acquiring 100 percent of NEXOs shares.

Following the completion of the acquisition of the founders shares at a meeting of the NEXO board of directors, the board unanimously elected as its new chairman and CEO, Keisuke Kobayashi of Yamaha Corporation Japan (former Head of Commercial Audio, deputy general manager at Yamahas PA/DMI Division, and director of NEXO).

PRG and VLPS Complete Merger

Production Resource Group, L.L.C. (PRG) and VLPS Lighting Services International, Inc. (VLPS) announced July 11th the completion of their merger. The merger, which was announced on June 11, 2004, has been approved by VLPS stockholders, and the regulatory review period has expired. A newly-formed subsidiary of PRG will be merged with and into VLPS, with VLPS becoming a wholly-owned subsidiary of PRG. The combined company will operate as PRG Lighting, PRG Audio, PRG Scenic Technologies and Showpay, and will maintain its headquarters in New Windsor, NY. Terms of the transaction call for VLPS stockholders to receive approximately $8.32 per share in cash at closing, and up to approximately $0.50 per share payable from an escrow account established to pay for any indemnification claims. This totals up to around $20M for the purchase of VLPS by PRG. VLPS' sales in 2003 were $63.5 million.
